Terms of service

These terms are between you, the merchant using CountWell, and InfiWits, based in Ahmedabad, India. By installing or using CountWell you accept them. Shopify’s own terms still apply to your Shopify store.

The service

CountWell helps Shopify stores with purchase orders, receiving, barcode labels, stock counts, transfers and stock reports. It reads your products and stock from Shopify, and changes stock and costs in Shopify when you tell it to.

Plans

• Starter is for stores with 1 active location. Locations run by a fulfillment service app don’t count.
• Growth is for stores with 2 or more locations, and adds transfers between locations and emailing purchase orders to suppliers.
• If a Starter store goes from 1 location to more, it can keep working for 14 days, once only. After that it must move to Growth or return to 1 location to start new work. It can still see its existing records and finish work already started.

The app shows any other limits, such as the number of lines on a purchase order, when they apply.

Billing and free trial

• Billing is through Shopify. Charges appear on your Shopify invoice, and Shopify’s plan page shows the price before you confirm.
• Plans start with a 14-day free trial. If you are still subscribed when it ends, Shopify starts charging you for your plan.
• Charges are non-refundable, except where the law requires it or at our discretion. Use the 14-day free trial to try CountWell first.
• You can change plan at any time from CountWell’s Settings page.

Cancelling

You can cancel at any time by uninstalling CountWell from your Shopify admin. This stops future charges.

Your CountWell data, including purchase orders, suppliers and stock counts, is deleted 48 hours after you uninstall, and we can’t restore it after that. Download anything you need before then. If you reinstall within 48 hours, your records are all still there. After a deletion we keep only a record that your store was deleted (its domain and the date). See the privacy policy for details. Changes CountWell already made to your stock and costs stay in Shopify.

If your plan ends without an uninstall, you can only finish work already started until you choose a plan again.

Check before you apply

CountWell changes your live Shopify stock and costs when you receive a delivery, apply a stock count or move stock in a transfer. You are responsible for checking your stock counts and the differences shown before you apply them, and for the quantities and costs you enter. That includes choosing to set items you didn’t scan to 0.

Your responsibilities

• Your staff follow these terms when they use CountWell in your store.
• You have the right to store your suppliers’ contact details and to send them the emails you send through CountWell.
• You won’t use CountWell to break the law, send spam, try to get into other stores’ data, disrupt the service or copy it to build a competing product.

Your data

Your data stays yours. You allow us to store and process it only to provide CountWell, as the privacy policy describes.

Service provided as-is

CountWell is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose. We don’t promise it will be uninterrupted or free of errors, or that any stock figure, cost or report is correct. It depends on Shopify and on what you enter. CountWell is not accounting or tax advice.

Limit of liability

As far as the law allows, InfiWits is not liable for indirect or consequential loss, or for lost profits, sales, stock, data or goodwill. Our total liability for any claim is limited to the amount you paid for CountWell in the 12 months before the claim. Nothing in these terms limits liability that the law does not allow us to limit.

Changes and ending the service

We may change or remove features, and may change these terms by updating this page and its date. If you keep using CountWell after a change, you accept it. We may suspend or end your access if you break these terms.

Governing law

These terms are governed by the laws of India. The courts of Ahmedabad have exclusive jurisdiction.
